Woofun AI reports that Strategy executed a significant equity financing maneuver by selling MSTR shares through its at-the-market (ATM) offering, deliberately preserving its Bitcoin (BTC) treasury while raising capital under the oversight of the US Securities and Exchange Commission (SEC). This strategic divergence highlights the firm's prioritization of liquidity management over immediate asset accumulation or liquidation.
The transaction details, disclosed in a Monday 8-K filing, reveal that Strategy sold 4.8 million shares of Class A common stock for $466.7 million between July 6 and July 12. During this specific window, the company maintained its holdings of 843,775 BTC, acquired at an average cost of $75,476 per BTC, indicating a pause in direct Bitcoin market activity.
Market reaction was muted, with MSTR shares trading down roughly 3% to $91.80 on the Nasdaq ahead of Monday's open, while Bitcoin dipped more than 2% to $62,580.
Structurally, Strategy’s US dollar reserves expanded to $3 billion as of July 12, up from $2.55 billion the previous week, a buffer designed to service preferred stock dividends and outstanding debt interest.
Woofun AI data shows the company retains $23.8 billion in remaining ATM capacity, including a new $21 billion offering announced on March 23, which may be utilized once current capacity is depleted. This contrasts with recent BTC liquidations, where Strategy sold 3,588 BTC for approximately $216 million; specifically, 1,363 BTC at $59,256 between June 29 and June 30, and 2,225 BTC at $60,773 between July 1 and July 5.
Additionally, a June 29 filing noted the sale of 12.7 million MSTR shares for $1.15 billion in net proceeds.
The reserve buildup supports the upcoming semi-monthly dividend schedule for STRC preferred stock holders, with the first payment due Wednesday. Announced on June 8, the new schedule sets record dates on the 15th and the last day of each month, with the first semi-monthly record date being June 30, 2026, and the initial payment scheduled for July 15.
